Welcome to Omni StoreLocator, a product of DAIOM! These Terms and Conditions (“Terms of Use”) govern your use of the Omni StoreLocator website (the “Website”) and all content, services, features, activities, and products available at or through the Website, including but not limited to the store locator service (the “Omni StoreLocator Solution” and, together with all other content, services, features, activities, and products available through the Website, the “Services”).

By accessing or using the Website or Omni StoreLocator Solution, you (“you” or “your” includes the person or entity that is registered with the Omni StoreLocator Solution as well as any third parties authorized to access the Omni StoreLocator Solution on that person or entity’s behalf) acknowledge that you have read, understood, and agreed to be bound by these Terms of Use in their entirety. If you do not agree to all of these Terms of Use, then you are expressly prohibited from using the site and you must discontinue use immediately.

1. Definitions

  • “Account” means the account created by the Client after agreeing to the Agreement, which enables the Client to use the Service.
  • “Agreement” means the agreement constituted by these Terms of Use, the Subscribed Plan, the Privacy Policy, and any potential subsequent amendments of those, as well as any separate agreement entered into between Omni Storelocator and the Client for the performance of the Service.
  • “Client” means the individual or legal entity, professional only, with whom Omni Storelocator entered this Agreement and whose name and address appear on the Account. The Client and Omni Storelocator are hereinafter collectively referred to as the “Parties” or individually as a “Party.”
  • “Omni StoreLocator Solution” means all content, services, features, activities, and products available at or through the Website, as well as any related applications, developed and published by Omni Storelocator.
  • “Personal Data” means any information relating to a natural person who is or can be identified, directly or indirectly.
  • “Content” means any data, whether personal or not, contained in the information provided by the Client to Omni StoreLocator Solution and processed through the Omni StoreLocator Solution.
  • “Documentation” means all documents that may be viewed, printed, sent, and/or downloaded in electronic form from the website, describing the functionalities of the Service and the Omni StoreLocator Solution.
  • “Client Data” means personal data, reports, addresses, and other files, folders, or documents in electronic form that a User of the Service stores within the Service to be processed through Omni StoreLocator Solution.
  • “Service” means the grant of access to the Omni StoreLocator Solution by Omni Storelocator and the use of the Omni StoreLocator Solution in SaaS mode by the Client, whether through the website under the terms and conditions set out in the Agreement. Includes features to find store locations near me, search location, access location map, and enhance SEO location.
  • “Upgraded Plan” means the fee-based plan subscribed by the Client for a fixed monthly or annual period, which appears on the Account (and then possibly modified by the Client).
  • “External Application Programming Interface” or “External API” means an external web service to the Omni StoreLocator Solution, being webapps (API) or the Client’s scripts, to which the Client may send Content.

2. Service Description

Omni StoreLocator Solution is a hosted on-line locator service that helps customers find store locations easily, driving foot traffic and increasing sales. It allows visitors of the Client websites’ find locations of their business within proximity of an address or postal code or within a selected region.

3. Account Registration and Use

  • To register for the Service and create an account, you must complete the registration process by providing us with the information prompted by the registration form, including e-mail address (username), password, and billing information.
  • You agree to provide us with complete and accurate information when you register for the Service, and to keep such information up to date.
  • You shall protect your username and password and are solely responsible for activities that occur under or through your account, including activities initiated by third parties, whether or not such activities are authorized by you.
  • You agree to notify Omni Storelocator immediately of any unauthorized use of your account or any other breach of security relating to your account or your use of the Omni StoreLocator Solution.

4. License

Subject to the terms and conditions of this Agreement, Omni Storelocator hereby grants you a limited, revocable, non-exclusive, non-transferable, and non-assignable license to include the provided JavaScript (together with any fixes, updates, and upgrades provided to you, the “Omni StoreLocator Script”) in the HTML code for web page(s) that are properly registered for the Omni StoreLocator Solution and owned by you, solely for the purposes of rendering a store locator.

5. Data Collection and Privacy

When registering to and while using the Omni StoreLocator Solution, Omni Storelocator collects, on a voluntary basis, from the Client a limited number of data, including Personal Data, which is solely for the performance of the Omni StoreLocator Solution and used in connection with the Omni StoreLocator Solution. All data provided to the Omni StoreLocator Solution, including Personal Data, Content, and Client Data will not be freely given to anyone. We do not, under any circumstances, sell either your Personal Data, Content, and Client Data. Only authorized employees of the Omni StoreLocator Service have access to view Personal Data, Content, and Client Data.

All collected data is treated according to our Privacy Policy which is part of the Agreement.

6. Payment and Subscription

  • A specific pricing applies to any monthly or annual subscription plan, which are detailed on the Website.
  • All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and the Client shall be responsible for payment of all such taxes, levies, or duties in its jurisdiction.
  • All Upgraded / Subscribed Plans must be paid, throughOmni Storelocator’s payment service provider, in full using a credit card.
  • The Service is billed in advance on a monthly or annual basis, irrespective of the use of the Service made by the Client. The amount already paid is neither fully or partially refundable.

7. Cancellation and Termination

  • The only valid method for canceling your Plan is by uninstalling the app via the Account “Settings” page on Shopify.
  • If you cancel your Plan before the end of your current pre-paid period, you will not be charged again for your Plan beginning with the next billing cycle.
  • Omni Storelocator reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice at any time.

8. Limitation of Liability

In no event shall Omni Storelocator, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access
